Strategic $DICE Token Allocation at TGE
Dices awards HYPD a 2–3% strategic allocation of $DICE at the Hyperliquid HIP-1 Token Generation Event, from the ecosystem-partner tranche (never VC or team supply). 12-month cliff, 24-month vest. Structured under a Token Allocation Agreement identical to the Silhouette deal HYPD already executed and disclosed.
Treasury diversification with direct upside to Dices's execution. No new governance framework, no board pathway beyond what a standard ecosystem token partnership already triggers.
HIP-2 Hyperliquidity for the $DICE/HYPE Pair
HYPD deploys $250K–$500K of HYPE as initial HIP-2 hyperliquidity for the $DICE/HYPE spot pair, with automated order-book market making on HyperCore and no active management required.
Passive, self-adjusting trading-fee income on every $DICE trade routed through the position. Maps to the Yield Enhancement line. Far smaller, lower-risk deployment than a HAUS commitment, and a way to test scale first.
HIP-4 Prediction Markets Deployment
Dices deploys its prediction markets (sports, crypto price, financial events, and cultural outcomes) as HIP-4 outcome contracts settling 0–1. Phase 1 lists Dices as curated canonical markets, with no 1M HYPE stake required, using HYPD's Top-6 ecosystem standing. Phase 2 moves to permissionless builder deployment.
Validator commission income on all Dices HIP-4 settlement volume, and ecosystem-reward credit for driving the largest entertainment-led source of HIP-4 adoption to date.
Designated HYPD Validator
Dices contractually routes all Hyperliquid ecosystem activity (the $DICE spot trades, HIP-4 prediction settlements, and future on-chain activity) through the Kinetiq x Hyperion validator: HYPD's co-branded Top-6 validator with ~10.17M HYPE staked, 4% commission, and 100% uptime.
A sustained, growing validator-commission stream from day one of $DICE launch, scaling directly with Dices platform adoption.
A public-vehicle-clean structure. The same legal path HYPD already cleared with Silhouette.
The first question a Nasdaq-listed company's legal team asks is whether a relationship creates UIGEA exposure, institutional shareholder risk, or gaming-adjacent disclosure obligations. The token partnership is structured so all three resolve in HYPD's favor.
HYPD's counterparty is Dices Inc., the Delaware technology company that issues $DICE. Not Dices Gaming Ltd., the offshore licensed operator. Token issuance and casino operations are legally separate entities.
An ecosystem token investment, the same category as HYPD's existing KNTQ, HPL, and Silhouette holdings. No gaming-adjacent disclosure language, no UIGEA legal opinion.
HYPD never accepts bets, processes deposits, or touches gaming funds. It holds $DICE and provides HIP-2 liquidity on a spot market: standard DeFi ecosystem participation.
HYPD's own SEC filings disclose the Silhouette token-allocation deal as a normal, pre-approved business activity. $DICE follows the identical structure. A 1–2 week approval path, not a 4–8 week gaming review.
